Patrick has been practising corporate law for over 20 years and has assisted clients from different jurisdictions in respect of their needs including fundraising through equity and debt, investments, corporate restructurings, joint ventures, takeovers, and mergers and acquisitions.  Starting with pre-listing investments, Patrick guides clients through the process of successfully listing on the Hong Kong Stock Exchange. Following the listing, he continues to support clients’ legal needs, including regulatory, transactional and governance compliance, as well as secondary market fundraising through placings, rights issues and open offers. In addition to assisting clients in achieving public listings, Patrick has also represented listed issuers in spin-offs and privatisations. 

Patrick is often involved in the early planning stages of corporate transactions, helping clients establish optimal structures to ensure that transactions can be completed in the most effective and efficient manner, with careful consideration of legal and regulatory implications.  For public takeovers, Patrick regularly advises clients on Takeovers Code requirements.  By maintaining ongoing dialogue with regulators, Patrick is well-positioned to advise clients on the latest developments in the regulatory landscape.

• Advised Courage Investment Group Limited (dually listed on main board of Hong Kong Stock Exchange and SGX-ST) as an offeree in a voluntary conditional general cash offer with offer value of approximately HK$86 million.

• Advised Wang On Properties Limited on its formation of joint venture with a limited partnership indirectly managed by Angelo, Gordon & Co., L.P. with initial total investment commitment by the parties of approximately HK$291 million in relation to the acquisition and holding of “Hotel Ease • Mong Kok （旭逸酒店• 旺角)”.

• Advised Wang On Properties Limited on its disposal of 20% interests in two joint venture companies to a limited partnership indirectly managed by Angelo, Gordon & Co., L.P. for a consideration of approximately HK$87 million.

• Advised Wang On Properties Limited on its business collaboration with a limited partnership indirectly managed by Angelo, Gordon & Co., L.P. through formation of new joint ventures with total initial commitment by the parties of up to US$100 million.

• Advised China Agri-Products Exchange Limited on the set up of HK$1,000 million medium term note programme.*

• Advised Easy One Financial Group Limited in its HK$690 million privatisation and withdrawal of listing from the Hong Kong Stock Exchange.*

• Advised Top Dynamic International Holdings Limited as an offeree in a mandatory unconditional cash offer with total transaction value of HK$600 million.*

• Advised Pou Sheng International (Holdings) Limited on its listing on the main board of the Hong Kong Stock Exchange with a global offering size in excess of US$320 million including greenshoe. *

• Advised London AIM listed company, RCG Holdings Limited, on its dual listing on the main board of the Hong Kong Stock Exchange.*
