After graduating from China University of Political Science and Law, Attorney Wang Wei studied at the University of Malaya and Peking University. He was admitted to legal practice upon approval by the Ministry of Justice of the People's Republic of China on June 18, 1998. Mr. Wang has served as PRC Legal Counsel at law firms in Malaysia and Germany.  

Mr. Wang's practice mainly focuses on securities and corporate finance (including IPOs), corporate restructuring, mergers and acquisitions, private equity and venture capital investments, cross-border corporate investments, banking and finance, as well as corporate law and commercial legal affairs. Mr. Wang has rich experience in IPOs, refinancing, M&A, corporate compliance, and cross-border acquisitions, and currently provides PRC legal services to dozens of large enterprises and projects. His working languages are Chinese and English.

· A-Share IPOs & Refinancing: Advised on the initial public offerings (IPOs) and post-listing refinancing projects for major listed companies, including Beijing Yanjing Brewery Co., Ltd. and CITIC Guoan Information Industry Co., Ltd.

· Domestic & Offshore Listings: Led legal team advising on the domestic/offshore IPOs and subsequent refinancing for Vanda Systems (China) Co., Ltd., Changchun Daxing Pharmaceutical Co., Ltd., and Tonghua Dongbao Pafilise Construction Materials Co., Ltd.

· NEEQ (New Third Board): Acted as lead legal counsel for Guizhou Carbon Black Energy Saving & Emission Reduction Co., Ltd. for its listing, equity refinancing, and post-listing restructuring on the National Equities Exchange and Quotations (NEEQ).

· Domestic M&A: Advised China Resources Pharmaceutical Commercial Group on its strategic acquisitions in mainland China.

· Corporate Restructuring & Local SOE Financing: Provided comprehensive legal counsel on restructuring, corporate financing, and securities offerings for Beijing Pharmaceutical Co., Ltd., Guizhou Gas Group, Hunan Xiangzhong Pharmaceutical Co., Ltd., Hua Xia Bank, and Industrial Bank.

Cross-Border & Foreign Investment (FDI/Outbound)

· Served as PRC Legal Counsel advising on the Chinese legal and asset interests involved in:

   o TeleTech's (US) direct investment projects in China.

   o RJ Reynolds Tobacco / Japan Tobacco Inc. (JT) global merger and acquisition involving Chinese assets/rights.

   o Beijing No. 3 Pharmaceutical Factory’s Debt-to-Equity swap project.

   o China Digital Art Network Co., Ltd.’s joint venture establishment in Germany.

   o ITOI Co., Ltd.’s (South Korea) direct investment transactions in China.

General Corporate Retainer & Dispute Resolution

· China Resources Double-Crane Pharmaceutical Co., Ltd.: Long-term corporate counsel assisting with equity refinancing schemes, M&A restructurings, corporate governance optimization (in compliance with CSRC and SSE regulations), and routine commercial operations.

· Beijing Pharmaceutical Co., Ltd.: Served as general corporate legal counsel since 2004. Handled all commercial litigation cases for the company and its subsidiaries, drafted and reviewed all key operational contracts, participated in major commercial negotiations, and provided full-process legal services for its M&A and financing deals.
