Ms. Fang has over 12 years of legal experience, focusing on complex commercial dispute resolution, regulatory investigations, corporate compliance and risk management.

She represents domestic and international financial institutions, investment firms and companies in disputes involving loans and guarantees, trusts and asset management, financial derivatives, equity investments and share repurchases, corporate control and cross-border enforcement. She also has extensive dispute resolution experience in entertainment and real estate. Her approach combines litigation, arbitration, negotiation and asset preservation with an understanding of transaction structures, commercial objectives and enforcement prospects.

She has assisted clients with investigations by securities regulators, public security authorities, market regulators, civil aviation authorities and tax authorities, as well as internal investigations, administrative reconsideration and disputes arising from regulatory matters.

At DJI, she was responsible for legal and compliance matters for the enterprise and agricultural drone business units. Her work covered product development, market access, domestic and overseas channel management and product liability, giving her practical experience across research and development, manufacturing, sales and after-sales service.

Financial Disputes

•  Represented a bank wealth management subsidiary in arbitration involving over RMB 600 million and asset preservation across multiple regions, addressing complex issues including the validity of a standalone settlement agreement.

•  Represented a major bank in a dispute involving a channel trust arrangement, securing favorable judgments at both first instance and on appeal.

•  Represented the Shenzhen branch of a commercial bank in a loan and guarantee dispute involving over RMB 1.4 billion, with the court upholding the client's principal claims.

•  Represented a foreign bank in a series of arbitrations involving foreign exchange options and forward contracts, obtaining awards in support of the claims.

•  Represented an offshore fund in proceedings to enforce security over pledged shares under the H-share Full Circulation scheme, involving approximately RMB 1.2 billion.

Equity Investment and Corporate Disputes

•  Represented a major bank in an equity transfer dispute, securing favorable judgments at both first instance and on appeal.

•  Represented domestic and offshore funds in share repurchase and valuation adjustment disputes, and an investment fund in partnership interest transfer and liquidation disputes with a de facto controller.

•  Represented a Shenzhen Stock Exchange-listed company in arbitration over cash compensation under a valuation adjustment agreement, as well as litigation involving corporate dissolution, shareholder derivative claims and challenges to corporate resolutions.

•  Represented a major corporate group in disputes in China arising from an international equity acquisition.

Regulatory Investigations and Administrative Disputes

•  Assisted senior executives of listed companies with investigations by securities regulators and public security authorities into insider trading and market manipulation.

•  Assisted companies with investigations involving product labeling, advertising, unfair competition and tax matters.

•  Assisted an aviation technology company with a maintenance quality investigation by civil aviation authorities.

•  Represented an online travel company in administrative reconsideration proceedings, helping secure the revocation of a transport-related administrative penalty.

•  Assisted a European company in responding to an overseas fraud incident and conducted fact-finding and follow-up legal action in China.

•  Conducted an internal employee investigation for an Italian company and assisted with follow-up matters.

Corporate Compliance and Risk Management

Ms. Fang was previously responsible for legal and compliance matters for the enterprise and agricultural drone business units of a leading drone manufacturer, providing legal support for business and operational decision-making and market expansion in China and overseas. She is familiar with the business processes involved in drone product development, manufacturing, sales and after-sales services, and is able to incorporate legal risk reviews into business policies, contractual arrangements and day-to-day operations, taking into account product features, use cases, transaction structures and target-market requirements.

•  Product Development and Commercialization: Ms. Fang assessed legal risks relating to product features, technology collaborations and intended uses in connection with project initiation, R&D collaborations and product launch planning. She participated in stage-gate reviews and compliance assessments concerning the use of technology and data and the development and deployment of new product features. Taking into account product certification requirements and restrictions on sales and use in target markets, she supported the development of market-entry plans, product documentation, terms of use and safety notices.

•  Supply Chain and Contract Performance: Ms. Fang reviewed commercial arrangements relating to procurement, contract manufacturing, OEM partnerships and customer deliveries, including business partners’ respective rights and obligations, quality standards, delivery and acceptance requirements, payment terms and liability for breach. She addressed changes to contract performance arrangements, quality disputes and risks relating to the collection of receivables, and identified export control and sanctions risks in cross-border transactions with reference to the products, customers and end uses involved.

•  Marketing and Channel Management: Ms. Fang participated in the development and risk review of policies on product pricing, promotions, rebates, brand promotion and sales channels, addressing legal issues relating to advertising, competition compliance and commercial partnerships. She refined eligibility and onboarding requirements, authorization arrangements, sales management policies and exit arrangements for domestic and international distribution and dealer networks, and handled disputes concerning inventory, the transition of after-sales responsibilities and termination of commercial relationships.

•  Data Compliance and After-Sales Services: Ms. Fang reviewed matters relating to data collection, use, sharing and security in the context of drone hardware, associated software and cloud services. In connection with warranty, repair, return and exchange policies and other after-sales service policies, she clarified the respective rights and responsibilities of the company, channel partners and users, and addressed risks relating to product quality, incidents arising from product use and product liability.

•  Investigations, Incident Response and Risk Management: Ms. Fang participated in responses to overseas government investigations and other significant risk-related matters, supporting their resolution through fact-finding, preservation of relevant records and evidence, external communications and dispute resolution. She translated issues identified in individual matters into ongoing risk controls through business policies, contractual provisions and review procedures.

Entertainment and Related Disputes

•  Represented talent agencies, cultural and media companies, and film and entertainment companies in disputes involving concerts, film distribution, publicity and promotion, investments in film and television projects, and financial advisory agreements.

•  Represented a gaming technology company in disputes to recover license fees and revenue shares.

•  Provided ongoing legal counsel to a film and entertainment company, including contract reviews and tailored training relating to artists, directors, screenwriters, film and television investments, copyright and product placement.

•  Provided legal services to an international fitness company on brand licensing, commercial endorsements, content collaborations, club partnerships and music copyright.

•  Represented a major US retailer in lease termination arbitrations across China.

•  Represented a Hong Kong real estate company in lease and property disputes in Shenzhen, and a Guangzhou developer in a commercial lease termination dispute.
